Agreement to Terms

By downloading, installing, accessing, or using Voice Notes to AI Text Memos ("Voice Notes", "the App", "our App"), you agree to be bound by these Terms of Service ("Terms", "Agreement"). If you do not agree to these Terms, please do not download, install, or use the App.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and Yuliia Kulakova ("Developer", "we", "us", "our") regarding your use of the App.

1. Description of Service

Voice Notes to AI Text Memos is an iOS application that provides voice recording and note-taking functionality. The App allows users to:

• Record voice notes using the device microphone
• Automatically convert voice recordings to text using Apple's on-device Speech Recognition
• Create, edit, and organize text-based notes
• Add photos from the device photo library to notes
• Add URLs and links to notes
• Categorize notes with tags and categories
• Set reminders for notes
• Sync notes across devices using iCloud (optional)
• Export notes as PDF or plain text files
• Search and filter notes

2. Eligibility and Account

2.1 Age Requirements

• You must be at least 13 years of age to use this App
• If you are under 18, you must have permission from a parent or legal guardian
• Users under 16 in the European Economic Area must have parental consent

2.2 No Registration Required

• No user account or registration is required to use the App
• The App operates using your Apple ID for subscription management only
• iCloud sync requires an Apple ID (managed by Apple, not by us)

3. Subscription Plans

Voice Notes offers two tiers of service:

3.1 Free Tier

• Cost: Free
• Recording Limit: 2 voice recordings per week
• Features: All other features available, including:
  • Unlimited manual text notes
  • Add photos to notes
  • Add links to notes
  • Set reminders
  • Export notes (PDF/text)
  • iCloud sync (optional)
  • Categories and tags
• No Credit Card Required: Use the free tier indefinitely without payment information

3.2 Premium Subscription

Premium subscription removes the weekly recording limit and provides unlimited voice note recordings.

4. Free Trial

• Duration: 3 days
• Eligibility: Available to new subscribers only
• Features: Full access to Premium features (unlimited recordings)
• Cancellation: Cancel anytime during the trial period to avoid charges
• After Trial: Automatically converts to paid subscription unless cancelled at least 24 hours before trial ends
• One Time Only: Free trial is available only once per Apple ID

5. Payment and Billing

5.1 Payment Processing

• All payments are processed through Apple's App Store
• Payment will be charged to your iTunes Account at confirmation of purchase
• We do not handle or store your payment information
• Payment terms are governed by Apple's App Store Terms and Conditions

5.2 Auto-Renewal

• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• The renewal cost will be the same as the original subscription price unless we notify you of a price change

5.3 Price Changes

• We reserve the right to change subscription prices at any time
• Price changes will not affect existing subscribers during their current billing cycle
• You will be notified of any price changes before they take effect
• Continued use of the Premium features after a price change constitutes acceptance of the new price

6. Cancellation and Refunds

6.1 How to Cancel

To cancel your subscription:

1. Open iOS Settings app
2. Tap your name at the top
3. Tap "Subscriptions"
4. Select Voice Notes
5. Tap "Cancel Subscription"

Alternatively, manage subscriptions through the App Store app or iTunes on a computer.

6.2 After Cancellation

• You will retain Premium access until the end of the current billing period
• No refund will be provided for the unused portion of the current billing period
• After expiration, you will revert to the Free tier with 2 recordings per week
• All your existing notes and data will remain accessible

6.3 Refund Policy

• All sales are processed through Apple's App Store
• Refund requests must be submitted to Apple, not to us
• Refunds are subject to Apple's refund policies
• We cannot process refunds directly
• To request a refund from Apple, visit reportaproblem.apple.com

7. User Content and Responsibilities

7.1 Your Content

• You retain all rights to the content you create in the App (notes, recordings, photos)
• We do not claim any ownership rights to your content
• We do not have access to your content as it is stored locally on your device
• You are solely responsible for your content and its legality

7.2 Content Responsibilities

• You are responsible for backing up your notes and data
• You must ensure you have the right to record any conversations
• You must comply with applicable laws regarding recording and consent
• You must not use the App to store illegal or harmful content

7.3 Recording Consent Laws

8. Prohibited Uses

You agree not to use the App to:

• Violate any applicable laws, regulations, or third-party rights
• Record conversations without proper legal consent where required
• Store, create, or distribute illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
• Store content that infringes intellectual property rights
• Attempt to reverse engineer, decompile, disassemble, or hack the App
• Circumvent any security features or access restrictions
• Interfere with or disrupt the App's functionality
• Use the App for any unauthorized commercial purposes
• Attempt to bypass subscription limitations through fraudulent means
• Share or resell your subscription access
• Use the App in any way that could harm or exploit minors
• Transmit viruses, malware, or other harmful code

9. Intellectual Property Rights

9.1 Our Rights

• The App and its original content, features, design, functionality, and code are owned by Yuliia Kulakova
• The App is protected by copyright, trademark, and other intellectual property laws
• Our trademarks, logos, and service marks may not be used without prior written consent

9.2 Your Rights

• You retain all intellectual property rights to your content
• You grant us no rights to your content
• We do not monitor, access, or use your content

9.3 Limited License

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes
• This license does not grant you any ownership rights
• This license terminates when you stop using the App or we terminate your access

10. Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy, available at:

Key Privacy Points:

• All data is stored locally on your device
• We do not have servers and cannot access your data
• Voice recordings are processed in memory only and never stored
• iCloud sync is optional and controlled by you
• We do not collect, sell, or share your personal information

By using the App, you acknowledge that you have read and understood our Privacy Policy.

11. Third-Party Services

The App uses only Apple's built-in services and frameworks:

• Speech Recognition Framework: Converts voice to text on-device
• App Store / StoreKit: Processes subscriptions and payments
• iCloud / CloudKit: Optional sync between your devices
• PhotosUI: Accesses photos when you add them to notes

Your use of these Apple services is governed by:

• Apple Media Services Terms and Conditions
• Apple Privacy Policy

We are not responsible for any third-party terms or policies.

12. Disclaimers and Limitations of Liability

12.1 "As Is" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness
• Uninterrupted or error-free operation

12.2 No Guarantee

• We do not guarantee that the App will be error-free, secure, or uninterrupted
• We do not guarantee the accuracy of speech recognition results
• We do not guarantee that the App will meet your specific requirements
• We do not guarantee data preservation - you are responsible for backups

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $50 USD IF GREATER)
• WE ARE NOT LIABLE FOR:
  • Data loss due to device failure, user error, or other causes beyond our control
  • Issues caused by iOS updates or device incompatibility
  • Misuse of the App or violation of recording laws
  • Inaccurate speech recognition results
  • Third-party services (Apple services)

12.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yuliia Kulakova and the App from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Your content or recordings
• Recording without proper consent where required by law

14. Termination

14.1 Termination by You

• You may stop using the App at any time by deleting it from your device
• You may cancel your Premium subscription at any time (see Section 6)
• Deleting the App will delete all locally stored data

14.2 Termination by Us

• We reserve the right to suspend or terminate your access for violations of these Terms
• We may discontinue the App at any time with reasonable notice
• We may refuse service to anyone for any lawful reason

14.3 Effect of Termination

• Upon termination, your right to use the App immediately ceases
• Provisions that should reasonably survive termination will remain in effect
• No refund will be provided for prepaid subscription fees unless required by law

15. Changes to Terms

• We reserve the right to modify or update these Terms at any time
• Changes will be effective immediately upon posting the updated Terms
• We will update the "Last updated" date at the top of this document
• For material changes, we will provide notice through:
  • In-app notification
  • App Store update notes
  • Email (if we have your email)
• Your continued use of the App after changes constitutes acceptance of the new Terms
• If you do not agree to the new Terms, you must stop using the App

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Georgia, without regard to conflict of law principles.

16.2 Dispute Resolution

• Any disputes arising from these Terms or the App shall be resolved through binding arbitration
• Arbitration shall be conducted in accordance with the rules of the American Arbitration Association
• You agree to waive your right to a jury trial
• You agree to waive your right to participate in a class action lawsuit

16.3 Exceptions

Either party may seek injunctive or equitable relief in court for:

• Intellectual property disputes
• Claims of piracy or unauthorized use
• Violations requiring immediate action

16.4 European Users

If you are a consumer in the European Economic Area, you may have additional rights under local consumer protection laws.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yuliia Kulakova regarding the use of the App and supersede any prior agreements.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Export Control

You agree to comply with all applicable export and import laws and regulations. You may not use or export the App in violation of U.S. export laws and regulations.

17.7 Language

These Terms are provided in English. Any translation is provided for convenience only. In case of conflict between the English version and any translation, the English version prevails.
